Its offer of such services are conditioned on the user's ("User") acceptance of the terms and conditions set forth herein and on other pages of the Passpoint.com web site ("Site"). By accessing and using this Site or any of its services, User shall be deemed to have agreed to all the terms, conditions, and notices in this Site ("Agreement") without modification

This site and the content provided on this site may not be copied, reproduced, republished, uploaded, posted, transmitted or distributed without the written permission of Impact Media, except that you may download, display and print one copy of the materials presented on this site on a single computer for your personal, non-commercial use only. Unauthorized use of this site and/or the materials contained on this site may violate applicable copyright, trademark or other intellectual property laws or other laws. You must retain all copyright and trademark notices, including any other proprietary notices, contained in the materials. Any software that is made available to download from this site ("Software") is the copyrighted work of Impact Media and/or its various third party providers and distributors. Your use of the Software is governed by the terms of the end user license agreement, if any, which accompanies or is included with the Software ("License Agreement"). You may not install or use any Software that is accompanied by or includes a License Agreement unless you first agree to the License Agreement terms. Any reproduction or redistribution of the Software is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible allowable under the law.

Without limiting the foregoing, copying or reproduction of the Software to any other server or location for further reproduction or redistribution is expressly prohibited. The software is warranted according to the terms of the License Agreement. You acknowledge that the Software and any accompanying documentation and/or technical information are subject to applicable export control laws and regulations of the U.S.A. You agree not to export or re-export the Software, directly or indirectly, to any countries that are subject to U.S.A. export restrictions.

Use of Site

The services of Passpoint.com & Impact Media are available only to individuals who can form legally binding contracts under applicable law, and thus, are not available to minors. By using this site, you represent that you are of sufficient legal age to use this site and to create binding legal obligations for any liability you may incur as a result of the use of this site.

Use of this site also warrants that the user is legally authorized to make the travel reservations or purchases made for either himself or herself or for another person for whom he or she is authorized to act. Use of this site also means that the user agrees to the terms and conditions of purchase imposed by the supplier of travel services (air, land, or sea), which may include, but are not limited to, restrictions against back to back ticketing, hidden city ticketing and round trip for one-way ticketing. The user also agrees to the payment of all amounts when due, including additional taxes and fees that may not be included in the quoted fare, and compliance with all rules regarding the availability of fares, products or services to include penalty fees arising from the failure of the purchaser to comply with said rules. User shall also agree to pay all duties, taxes, and related charges arising out of its use of this Site and of the services provided herein. User also agrees to allow Passpoint.com to charge the credit card on file for the payment of penalties arising from the purchasers` failure to comply with airline tariff rules. Such payment will be collected without additional notice.

You may only use this site to make legitimate reservations or purchases and shall not use this site for any other purposes, including without limitation, to make any speculative, false or fraudulent reservations, or any reservation in anticipation of demand.

Member Profile

Members provide Passpoint.com and/or its third party suppliers and distributors with travel preferences, credit card billing information, ticket delivery address and other personal information. This information is primarily used to assist members in making reservations. Furthermore, when you become an Passpoint.com member you provide your name, address, telephone number, email address, a unique login name, password and password validation. This information is collected on the registration form for several reasons including: (a) personal identification; (b) to complete travel reservations; (c) to allow us to contact you for member service, if necessary; (d) to customize the content of our site to meet your specific needs; and (e) to make product improvements to Passpoint.com.

In addition, your email address is collected to send you an email message confirming your new member registration and each reservation you transact online. As a member you may occasionally receive updates from us about fare sales in your area, special offers, new Passpoint.com services, and other noteworthy news items. However, you may always decline to receive these email messages.

Privacy and Use of Personal Information

You are in complete control of the information you provide to Passpoint.com and/or its various third party providers and distributors for your travel planning needs. Passpoint.com and/or its various third party providers and distributors respects and will continue to respect the privacy of members who use this Site.

When you reserve or purchase travel services through Passpoint.com and/or its various third party providers and distributors, information about you is provided to the airline, car rental agency, hotel or other involved third party to ensure the successful fulfillment of your travel arrangements. Occasionally, Passpoint.com will hire a third party to act on our behalf for projects such as market research surveys and contest entry processing and will provide information to these third parties specifically for use in connection with these projects. The information we provide to such third parties is protected by a confidentiality agreement and is to be used solely for completing the specific project.

Please be aware that Passpoint.com contains links to other web sites that may collect personally identifiable information about you. When you click on one of these links, you are entering another web site for which Passpoint.com has no responsibility. Furthermore, this Privacy Policy does not cover the information practices or policies of such web sites. We encourage you to read the privacy policies of all such sites, as their policies may be materially different from Passpoint.com's Privacy Policy.

Passpoint.com is to be used by you for your personal use only. Commercial uses of Passpoint.com are strictly prohibited unless prior written consent from Passpoint.com has been granted. You agree that you will not use Passpoint.com for chain letters, junk mail, "spamming", solicitations (commercial or non-commercial) or bulk communications of any kind including but not limited to distribution lists to any person who has not given specific permission to be included in such a list.

Information Disclosure

In addition to the circumstances described above, Impact Media may disclose member information if required to do so by law, court order, as requested by other government or law enforcement authority, or in the good faith belief that disclosure is otherwise necessary or advisable including, without limitation, to protect the rights or properties of Impact Media when we have reason to believe that disclosing the information is necessary to identify, contact or bring legal action against someone who may be causing interference with our rights or properties, whether intentionally or otherwise, or when anyone else could be harmed by such activities.

Opt Out Policy

At anytime, you can unsubscribe to Passpoint.com newsletters through links on Passpoint.com's home page. As a member or contest entrant you will occasionally receive email updates from us about special offers, new Passpoint.com services and other noteworthy news items. We hope you will find these updates interesting and informative. If you would rather not receive them, please contact us at support@passpoint.com. Passpoint.com reserves the right to limit membership to those who will accept e-mails.

Impersonation

You agree not to impersonate any other person or entity, whether actual or fictitious, including impersonating an associate or consultant of the Passpoint.com website or Impact Media. You further agree not to use an inappropriate name of any kind.

Please be aware that Passpoint.com contains links to other web sites that are provided solely as a convenience to you and not as an endorsement by Passpoint.com nor its third party providers or distributors of the contents of such other web sites. Neither Passpoint.com, Impact Media nor any third party provider or distributor shall be responsible for the content of any other web sites and make no representation or warranty regarding any other web sites or the contents or materials on such web sites. If you decide to access other web sites, you do so at your own risk.

In addition, you agree not to create a hypertext link from any web site controlled by you or otherwise to this site without the express written permission of Impact Media.

Use of Community Areas

Community Areas are defined as TalkBack, Advisor, etc., et. al.

You alone are responsible for the content and the consequences of any of your messages submitted to a Community Area or posted any other place on Passpoint.com or third party websites reached by Passpoint.com links. You acknowledge that all submissions and communications submitted by you or by other users are not endorsed by Passpoint.com or Impact Media, and such communications shall not be considered reviewed, screened, or approved by Impact Media. User's remarks are intended for entertainment value only and are not read by Impact Media for order processing instructions. Impact Media reserves the right to terminate your registration, to remove any content received from you, and to deny you access to any portion of Passpoint.com, without notice to you, if it becomes aware and determines, in its sole discretion, that you are violating any of the following guidelines.

You agree to use Community Areas only to send and receive messages and material that are proper and related to travel. By way of example, but not as a limitation, you agree that when using a Community Area, you shall not do any of the following:

(a) Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others;

(b) Publish, post, distribute, or disseminate any defamatory, infringing, obscene, indecent or unlawful material or information;

(c) Upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents;

(d) Delete any author attributions, legal notices, or proprietary designations or labels in any file that is uploaded;

(e) Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer;

(f) Falsify the origin or source of software or other material contained in a file that is uploaded;

(g) Advertise or offer to sell any goods or services or conduct or forward surveys, contests, "spam" or chain letters; or

(h) Download any file posted by another user of a Community Area that you know, or reasonably should know, cannot be legally distributed in such manner.

You further agree not to use Passpoint.com to send or post any message or material that is unlawful, harassing, libelous, defamatory, abusive, indecent, threatening, harmful, vulgar, obscene, profane, sexually oriented, threatening, racially offensive, inaccurate, inflammatory, pornographic, profane, or otherwise objectionable material of any kind or nature or that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national or international law or regulation, or encourage the use of controlled substances. Impact Media will cooperate fully with any law enforcement officials and/or agencies in the investigation of any person or persons who violate these Terms of Service.

Non-exclusive Right and License to Use

By submitting content to any "public area" of Passpoint.com, you grant Impact Media and its affiliates a royalty-free, perpetual, irrevocable, non-exclusive right (including any moral rights) and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display the content (in whole or in part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed, for the full term of any rights that may exist in such content.

You also warrant that the holder of any rights, including moral rights in such content, has completely and effectively waived all such rights and validly and irrevocably granted to you the right to grant the license stated above. You also permit any user to access, display, view, store and reproduce such content for personal use. Subject to the foregoing, the owner of such content placed on Passpoint.com retains any and all rights that may exist in such content.

IP Addresses

Passpoint.com collects IP addresses to help diagnose problems with our servers and for system administration.

Information Safeguards

All financial information you provide to Passpoint.com or Impact Media is transmitted using SSL (Secure Socket Layer) encryption. SSL is a proven coding system that lets your browser automatically encrypt, or scramble, data before you send it to us.

You are solely responsible for maintaining the secrecy of your passwords and any account information. Please be very careful, responsible, and alert with this information, especially whenever you're online.

Contests

Passpoint.com occasionally sponsors contests to give members the opportunity to win prizes. Information collected by Impact Media for such contests can include contact information and survey questions. Contact information is used to notify contest winners and survey information is used to develop promotions and product improvements to Passpoint.com.

Online Surveys

Passpoint.com values opinions and comments from members, so we occasionally conduct online surveys. These surveys are entirely optional for all members. Typically, the information is aggregated and used to make improvements to Passpoint.com and to develop appealing content, features and promotions for members. Survey participants are anonymous unless otherwise stated in the survey.

Cookies

Cookies are pieces of information that a site transfers to your computer's hard disk for record keeping purposes. Cookies can make the Web more useful by storing information about your preferences on a particular site. The use of cookies is an industry standard, and Passpoint.com uses them to provide useful features for its members. Cookies in and of themselves do not personally identify users, although they do identify a user's computer. Most browsers are initially set to accept cookies. If you prefer set yours to refuse cookies, you may not be able to take full advantage of the Passpoint.com website.

Advertising Disclosure

Product descriptions posted on our product pages are the representations of our suppliers. The Passpoint.com website and/or Impact Media is not responsible for typographical, pricing, product information, advertising or shipping errors. Advertised prices and available quantities are subject to change without notice.

System Availability

Impact Media makes every effort to maintain 100% system availability, except during scheduled maintenance periods. Should we experience technical difficulties, Impact Media is not responsible for orders that are not processed or accepted and is not responsible for any damages that may arise as a result during such technical difficulties.

TRAVEL RESERVATIONS, TICKETING, PAYMENTS, SHIPPING

White Label Fares

In some cases, certain agreements we and/or our third party suppliers and distributors have negotiated with an airline require us to conceal the airline name and/or schedule, flight numbers or connection cities until after you purchase the ticket. Once you have purchased your ticket, the reveals the airline in the final itinerary that appears after your reservation has been processed.

These flights are special fares that are NON-REFUNDABLE, NON-TRANSFERABLE AND NON-CHANGEABLE. It is the customers responsibility read all ticket restrictions before buying to make an informed purchasing choice. If you are in any way uncomfortable with the idea that the actual airline information will only be revealed after you have purchased your tickets, select a different flight. However, if you are interested in substantial airfare savings, you should definitely consider these incredible money-saving fares.

Name on Reservations

All reservations must be made in the EXACT name of the person traveling - no nicknames. For international travel the name on the reservation must be EXACTLY as it appears on the traveler's passport.

Ticket Requests

All requests submitted, even if availability displays are provided, are requests only. Any requests that cannot be confirmed will receive notification by email.

Domestic and International Ticket Requests

Once domestic tickets (flights within the United States) have been made, and you have provided payment information, your reservation CANNOT be changed without large penalties, which may be as much as $200 USD, plus any difference in airfare. Beginning seven (7) days before your first scheduled day of travel your tickets are completely non- refundable and non-changeable. Changes are also subject to availability restrictions. In compliance with airline regulations your tickets are also NON-REFUNDABLE and NON-TRANSFERABLE. With all purchases, the customer is expected to read and understand the specific restrictions of a purchase from that specific vendor before buying. Impact cannot be responsible if the customer fails to do so.

Prices listed during initial quotes on INTERNATIONAL tickets DO NOT INCLUDE taxes and departure fees. We will inform you of all taxes and fees online before you provide your credit card information.

Once international reservations have been made and you have provided payment information, your reservation CANNOT be changed without large penalties, which may be $350 USD or more (IF a change can be made at all) and is completely NON-REFUNDABLE. If a ticket can be changed, the request must be made at least ten(10) business days prior to the original departure date. Some tickets are completely NON-CHANGEABLE.

International travelers are advised to know the entry requirements for the country(s) to which they are traveling or entering. Reliable information regarding international travel can be found at www.travel.state.gov. Impact Media or its third party supplier's sale of an international ticket to you does not imply any guarantee of passenger's ability to enter the country of destination. Traveler understands that Impact Media takes no responsibility for determining passenger eligibility to enter any specific country.

Unaccompanied Minor Children
Unaccompanied children under 16 years of age may not travel by special offer, negotiated fare or White Label ticket. Any reservation for an unaccompanied child under the age of 16 years of age is subject to any additional terms, rules, restrictions, and fees imposed by the airline. Call the airline on which travel will occur for complete details.

Electronic Tickets

When you make your reservation, you may have the option of selecting an electronic ticket. When you travel, simply give the agent this confirmation number and photo identification, and you will receive a boarding pass.

All adult domestic passengers will be required to show a valid government issued photo ID prior to check-in.

Note that electronic tickets are not available for all flights. If you request an electronic ticket when it is unavailable, the third pary vendor may substitute a paper ticket and send it by Federal Express (see below for delivery details).

Electronic Ticket Restrictions

DISCOUNTED, SPECIAL OFFER OR NEGOTIATED FARE TICKETS MAY NOT ELIGIBLE FOR ELECTRONIC TICKETING. PASSENGERS MUST PROVIDE A DAY TIME DELIVERY ADDRESS FOR PAPER TICKET DELIVERY. YOUR SIGNATURE IS REQUIRED AT TIME OF DELIVERY. SEE VENDOR DESCRIPTION FOR COMPLETE DETAILS.

Electronic tickets are available on the following airlines for published fares: Alaska Airlines, American, Delta, Continental, America West, Northwest, Trans World, United, US Airways, Frontier, and British Airways.

All flights in a single itinerary must be on the same airline.

All flights must be operated by the same airline. Flights operated by a different airline known in the travel industry as code share flights are not eligible for electronic ticketing.

All flights (with few exceptions) must be for travel within the United States.

The itinerary must not contain more than four segments (flights).

Unaccompanied children under 16 years of age may not travel by electronic ticket. Any reservation for an unaccompanied child under the age of 16 years of age is subject to any additional terms, rules, restrictions, and fees imposed by the airline. Call the airline on which travel will occur for complete details.

Electronic tickets may not be available on most Discount Negotiated Fare or White Label flights.

Hotel Reservations

Please review the terms that are appropriate for the reservation type from the specific third party supplier or distributor to be booked prior to purchase.

Currency Conversions are based on approximate exchange rates at the time of booking and should be used as an approximate guide only.

Hotel Requests for specific features such as bedding type or non-smoking rooms are simply that, and while most hotels will strive to honor your requests, neither Impact Media nor the hotel guarantee that your request will be honored.

Hotels change pet acceptance policies often and without notice. It is very important that you confirm directly with the property that they do, indeed, accept pets. Impact Media accepts NO RESPONSIBILITY for an individual property's pet policy.

You will be paying for the basic room rate and applicable taxes at the time of confirmation from the hotel. A credit card charge will appear on your next statement from the specific third party supplier or distributor. The name of the vendor will be stated at the time of the purchase and in any confirmation correspondence.

Any incidental charges such as meals, phone calls, roll away bed and crib when available, must be paid directly to the hotel at the time of check-out. You may be required to present a credit card at check-in to guarantee payment of these incidental charges.

Options to change or cancel these reservations penalties may depend on the third party supplier or distributors restrictions. Read and understand these restrictions prior to your purchase or booking. User accepts the responsibility to review the cancellation policy.

Other Hotel Reservations
Some hotel property reservations are accepted without pre-payment. Your credit card account number is passed to the hotel property to guarantee your reservation for late arrival. You must cancel your reservation within the guidelines of the hotel property to avoid no-show fees.

Rates displayed are base rates per room per night. Hotel taxes are NOT included in the rate requested. Additional persons in the room may cause the hotel to change the rate confirmed.

Some rates have special requirements such as AAA membership or Senior Citizen proof of age at check-in. Verify that you qualify for the rate that you have booked. Hotel properties are not obligated to honor this rate if you do not qualify.

Payment and Sales Tax

Passpoint.comšs third party vendors typically accept Discover, American Express, Visa, MasterCard and Diners Club credit cards for purchases. All payments must be in US Dollars. Currency Conversions are based on approximate exchange rates at the time of booking and should be used for an approximate guide only. Current billing address and phone information must be included with every order. Sales Tax will be charged on certain products depending on the shipping address as required by law.

Shipping

By placing an order, the member accepts the shipping terms and policies of the specific third party supplier or distributor.

In order to ensure delivery of your tickets prior to your departure, Impact Mediašs third party suppliers and distributors cannot accept responsibility for timely delivery of bookings for travel within 5 business days of departure date. Specific policy of the purchase is determined by the supplier or distributor.

INCLUSIVE

Denial of Access

In its sole discretion, in addition to any other rights or remedies available to Impact Media, and without any liability whatsoever to User, Impact Media, at any time and without notice, may terminate or restrict user's access to Passpoint.com's travel services and the services of each of its modules.

Headings

The headings used in these Terms and Conditions of Use are included by convenience only and will not limit or otherwise effect these Terms and Conditions of Use.

Assignment

You may not assign, convey, subcontract or delegate your rights, duties or obligations hereunder.

Additional Terms

Additional terms and conditions may apply to reservations, purchases of goods and services and other uses of portions of this site, and you agree to abide by such other terms and conditions.

Severability

These terms and conditions shall be deemed severable. In the event that any provision is determined to be unenforceable or invalid, such provision shall nonetheless be enforced to the fullest extent permitted by applicable law, and such determination shall not affect the validity and enforceability of any other remaining provisions.

Modification

Impact Media may at any time modify these terms and conditions and your continued use of this site will be conditioned upon the terms and conditions in force at the time of your use. Accordingly, you agree to review these terms and conditions periodically, and your continued access, use and/or posting on this site shall be deemed your acceptance of the changed terms, conditions and notices.

Exclusion of Warranty

IMPACT MEDIA AND ANY THIRD PARTY PROVIDERS AND DISTRIBUTORS MAKE NO WARRANTY OF ANY KIND REGARDING THIS SITE AND/OR ANY MATERIALS PROVIDED ON THIS SITE, ALL OF WHICH ARE PROVIDED ON AN "AS IS" BASIS. IMPACT MEDIA AND ANY THIRD PARTY PROVIDERS AND DISTRIBUTORS DO NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENCY OR RELIABILITY OF ANY OF THE CONTENT OR DATA FOUND ON THIS SITE AND SUCH PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS, INCLUDING IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE.

IMPACT MEDIA EXPRESSLY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND/OR FITNESS FOR ANY PARTICULAR PURPOSE, ANY WARRANTIES OF PERFORMANCE, AND ANY WARRANTY THAT MIGHT OTHERWISE ARISE FROM THE COURSE OF DEALING BETWEEN THE PARTIES OR FROM ANY USAGE OF TRADE. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state.

Limitation of Liability

IMPACT MEDIA ASSUMES NO RESPONSIBILITY, AND SHALL NOT BE LIABLE FOR, ANY DAMAGES TO, OR VIRUSES THAT MAY INFECT YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO, USE OF, OR BROWSING IN THIS SITE OR YOUR DOWNLOADING OF ANY MATERIALS, DATA, TEXT, IMAGES, VIDEO OR AUDIO FROM THE SITE. IN NO EVENT SHALL IMPACT MEDIA OR ANY THIRD PARTY PROVIDERS AND DISTRIBUTORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, DAMAGE, OR ANY SPECIAL, EXEMPLARY, PUNITIVE, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO LOST PROFITS OR LOST SAVINGS), WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH (A) ANY USE OF THIS SITE OR CONTENT FOUND HEREIN, (B) ANY FAILURE OR DELAY (INCLUDING, BUT NOT LIMITED TO THE USE OF OR INABILITY TO USE ANY COMPONENT OF THIS SITE FOR RESERVATIONS OR TICKETING) OR (C) THE PERFORMANCE OR NON PERFORMANCE BY IMPACT MEDIA OR ANY THIRD PARTY PROVIDERS AND DISTRIBUTORS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES TO SUCH PARTIES OR ANY OTHER PARTY. This limitation of liability shall apply regardless of whether the claim asserted is based on contract, negligence, or any other theory of recovery.

Indemnification

You agree to indemnify and hold the Passpoint.com website, Impact Media and its subsidiaries, affiliates, officers, directors, agents and employees harmless from any claim or demand, including reasonable attorney's fees, made by any third party due to or arising out of your breach of this agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party. Passpoint.com's failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches.

Governing Law

This Agreement and its performance shall be governed by and construed in accordance with the laws of the State of Washington, United States of America, without regard to its conflict of law provisions. You consent and submit to the exclusive jurisdiction and venue of the state and federal courts located in Thurston County, the State of Washington, United States of America, in all questions and controversies arising out of your use of this site and this Agreement. If any provision of this agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

Entire Agreement

These terms and conditions, together with those incorporated herein or referred to herein constitute the entire agreement between us relating to the subject matter hereof, and supersedes any prior understandings or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on this site.
